1. Acceptance of terms
By creating a workspace or otherwise accessing the Klerix Services, you agree to these Terms on behalf of yourself and your organization.
2. The service
Klerix provides a platform for building, operating, and observing autonomous browser agents that perform tasks on third-party portals and systems on your behalf, subject to the policies you configure.
3. Acceptable use
You agree not to use Klerix to: (i) violate any third party's terms of service in a manner not permitted by law; (ii) process data you do not have the right to process; (iii) circumvent security controls.
4. Customer data
You retain ownership of all data your agents process. Klerix processes Customer Data solely to provide the Services and as instructed via the platform.
5. Confidentiality
Each party will protect the other's confidential information with the same degree of care it uses for its own, no less than reasonable care.
6. Fees
Fees are described on your Order Form or, for self-serve plans, on the pricing page. Usage in excess of plan caps is billed at the published overage rate.
7. Warranties & disclaimers
Klerix warrants that it will provide the Services in a professional and workmanlike manner. Except as set forth in the Order Form, the Services are provided "as is."
8. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, or consequential damages. Each party's aggregate liability is capped at the fees paid in the 12 months preceding the claim.
9. Termination
Either party may terminate for material breach not cured within 30 days. Sections that by their nature should survive termination will survive.
10. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
